Party B:

Based on equality , willingness ,mutual benefit ,mutual development,party A and party B has already agreed to sign this agreement and would like to abide by all the terms as following:

1. Expiration:
The LETTER OF INTENSION valid from ___________month ___________date ______________year to __________month ____________date ______________year,period of validity is ____________days .When it expires, this LETTER OF INTENDED COOPERATION is to become invalid automatically .

2. Deposit Policy:
Party B should pay Party A _____________YUAN RMB as the deposit for guarantee Party Bs application for the SPECIAL PERMIT FOR SALES within the appoint region during the period of validity of this LETTER OF INTENDED COOPERATION .

3. Sales Region:
During the period of validity of this LTEEER OF INTENDED COOPERATION, Party A reserves right of Party Bs application for SPECIAL PERMIT FOR SALES in ___________country __________state _______________city __________districts(town)____________street(road)__________________(commercial Town, business street), party As not permitted to authorize this regional special permit sales right to any other third party .

4. The two parties responsibilities and duties:
A. During the period of the validity of this LETTER OF INTENSION ,Party A will make an on-the-spot-investigation to see if Party B has this qualification to cooperate with Party A,if Party B has the qualification to sign the SPECIAL PERMIT SALES AGREEMENT ,Party A is to sign with Party B a formal SPECIAL PERMIT SALES AGREEMENT,and start the further cooperation ,Party Bs deposit for application is to become the money for buying goods .
B. After Party As on-the –spot-investigation,if Party B doesn’t satisfy the condition as Party As request ,arty A is to refund Party Bs intension deposit .
C. During the validity of contract,Party B totally satisfy the condition,but Party A unilaterally terminates the contact ,Party A compensates Party B .
D.Party A should provide Party B the duplicated copies of Party As business license,trademark registration certificate,the original SPECIAL PERMIT SALES AGREEMENT;after this contract expires,Party B has to return Party A all the documentations provided by Party A : Party B is not permitted to use the documentations provided by Party A to go in for illegal activities,once found ,Party A will investigate Party B under the law .

5. If there is something undecided in this LETTER OF INTENDED COOPERATION, both of Party A and Party B should friendly discuss to solve the problem .

6. The place where this LETTER OF THE INTENTEDE COOPERATION is signed is : Yuexiou distict,Guangzhou, Guangdong,P.R.China .

7. This LETTER OF INREBDED COOOPERATION is in duplicate,each of Party A and Party B holds one copy ,both of the copies are law authentic,after two parties representatives sign,sealed ,it valid immediately .
